1. Acceptance of Terms
These Terms & Conditions ("Terms") govern your access to and use of HireSight (the "Service"), provided by HireSight. The Service is made available globally. By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization, and you agree to these Terms on its behalf. If you do not agree, do not use the Service.
2. Eligibility and Accounts
You must be at least the age of majority in your jurisdiction to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must promptly notify us of any unauthorized use or security breach.
3. Access and Use
Subject to these Terms, HireSight grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes (for employers) or to participate in assessments (for candidates).
4. Content and Candidate Data
You retain ownership of content you submit, including videos, resumes, and responses ("User Content"). You grant HireSight a worldwide, non-exclusive, royalty-free license to host, store, process, transcode, analyze, and display User Content solely to operate and improve the Service, provide results and analytics, and comply with legal obligations. You represent that you have obtained all necessary rights and consents to submit User Content and to grant this license.
5. Privacy and Data Protection
You have the right to delete your account at any time. Do not include special category or sensitive personal data in prompts or uploads unless explicitly requested, necessary for the assessment, and permitted by law.
6. Subscriptions, Credits, and Billing
Access to certain features require paid use of credits. Charges are non-refundable except as required by law. Prices may be shown in GBP (£) and/or other currencies; where applicable. You are responsible for any taxes, duties, or charges applicable in your jurisdiction outside the UK. You authorize us and our payment processor to charge your payment method for all applicable fees, taxes, and charges. We may modify prices with reasonable notice. Unused credits may expire.
7. Acceptable Use
You agree not to: (a) misuse the Service; (b) upload unlawful, misleading, infringing, or harmful content; (c) reverse engineer, decompile, or attempt to extract source code; (d) bypass or interfere with security or access controls; (e) perform automated scraping or rate-limit evasion; (f) use outputs to create competing models or datasets; (g) misrepresent identity or affiliation; or (h) use the Service in violation of any applicable law.
8. Intellectual Property
The Service, including its software, design, and content (excluding User Content), is owned by HireSight and is protected by intellectual property laws. Except for rights expressly granted, no licenses are granted by implication or otherwise.
9. Third-Party Services
The Service may integrate third-party offerings (e.g., cloud storage, payments, AI inference providers). Your use of such offerings is subject to their terms, and HireSight is not responsible for third-party services.
10. Beta and Experimental Features
We may offer beta features. These are provided “as is,” may change without notice, and may be discontinued at any time.
11. Disclaimers
THE SERVICE AND ALL RESULTS, SCORES, INSIGHTS, AND OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF ACCURACY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. YOU ARE SOLELY RESPONSIBLE FOR YOUR HIRING DECISIONS.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HIRESIGHT AND ITS AFFILIATES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FRAUD OR FRAUDULENT MISREPRESENTATION, OR ANY OTHER LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER THE LAWS OF ENGLAND AND WALES. SUBJECT TO THE FOREGOING, HIRESIGHT’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO HIRESIGHT FOR THE SERVICE IN THE THREE (3) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY.
13. Indemnification
You will indemnify and hold harmless HireSight and its affiliates, officers, agents, and employees from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to your User Content, your use of the Service, or your violation of these Terms or applicable law.
14. Termination
We may suspend or terminate your access to the Service at any time for any reason, including for violation of these Terms. Upon termination, your right to use the Service will cease. Sections that by their nature should survive will survive termination (including ownership, disclaimers, limitations of liability, and indemnification).
15. Governing Law and Venue
These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any such dispute or claim, subject to mandatory consumer protection laws that may grant you additional rights in your country of residence.
16. Changes to the Terms
We may modify these Terms from time to time. Material changes will be effective upon posting or as otherwise stated. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
17. Consumers and Businesses
The Service is primarily intended for business users (employers and recruiters). If you are a consumer under UK or EU law, you may have statutory rights that cannot be excluded; these Terms apply in addition to, and do not diminish, those rights.
18. Language
These Terms are drafted in English (UK). If we provide a translation, the English version will prevail in the event of any conflict.
End User License Agreement (EULA)
This EULA governs your use of any HireSight software, applications, or components (collectively, the "Software"). Subject to your compliance with the Terms and this EULA, HireSight grants you a limited, non-exclusive, non-transferable, revocable license to install, access, and use the Software solely in connection with the Service.
- License Restrictions: You may not copy, modify, translate, adapt, create derivative works of, distribute, sell, lease, sublicense, or transfer the Software; nor may you reverse engineer, decompile, or disassemble the Software except to the extent such restrictions are prohibited by law.
- Updates: HireSight may, but is not obligated to, provide updates or upgrades. Any updates are part of the Software and subject to this EULA.
- Ownership: The Software is licensed, not sold. HireSight retains all rights, title, and interest in and to the Software.
- Export: You represent that you are not located in a sanctioned country and are not a prohibited party under applicable export control laws. You will not export or re-export the Software in violation of law.
- Open Source Components: Certain components may be offered under open-source licenses that we will make available. To the extent there is a conflict between an open‑source license and this EULA, the open‑source license governs your use of the relevant component.
